Terms of Service

1Eligibility

To use this Site or purchase products you must: (a) be at least eighteen (18) years of age; (b) have the legal capacity to enter into a binding contract; and (c) meet the purchaser qualifications set out in Section 3. We may require proof of age, identity, or institutional or professional affiliation at any time, and may refuse, cancel, or limit any order at our sole discretion, with or without reason.

2Nature of the products

Products supplied by Peptibolics are chemical reference materials intended exclusively for laboratory research conducted by qualified individuals. Product descriptions, category names, and any summaries of scientific literature appearing on the Site are provided solely for educational and informational purposes. They describe published research concerning the compounds generally; they are not claims about outcomes, are not directions or dosage information, and do not constitute an indication, suggestion, or invitation that any product be administered to or consumed by any human or animal.

3Purchaser certification (condition of sale)

By placing an order, you represent, warrant, and certify, as an express condition of the sale, that:

• you are purchasing the products solely for lawful in-vitro laboratory research purposes;
• the products will never be used for human or veterinary consumption, administration, injection, ingestion, topical application, or any other form of introduction into the body of any human or animal;
• you are trained and qualified in the safe handling of laboratory chemicals and will handle, store, and dispose of the products in accordance with all applicable laws, regulations, and recognized laboratory safety standards;
• you are not purchasing on behalf of, or for resale or transfer to, any person who does not meet these requirements;
• you have independently verified that your purchase, possession, and use of the products is lawful in your province, territory, or jurisdiction; and
• all information you provide to us is truthful, accurate, and complete.

Any breach of this Section 3 voids all warranties, terminates any obligation we may have to you, and constitutes a material misrepresentation upon which we are entitled to rely for all purposes, including the indemnity in Section 10.

4No medical, health, or professional advice

Nothing on this Site constitutes medical, health, pharmaceutical, legal, or other professional advice. We do not diagnose, treat, cure, or prevent any disease or condition, and we make no representation that any product is safe, effective, or appropriate for any purpose other than in-vitro laboratory research. Never disregard professional medical advice on the basis of anything appearing on this Site.

5Product quality; limited warranty

We warrant only that, at the time of shipment, products conform to the identity and purity specifications stated on the corresponding certificate of analysis ("COA") for the applicable lot. THIS IS OUR SOLE WARRANTY. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, ALL PRODUCTS ARE SUPPLIED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, CONDITIONS, AND REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Your sole and exclusive remedy for any product that fails to conform to its COA is, at our option, replacement of the product or refund of the purchase price.

6Assumption of risk

Research chemicals are potentially hazardous materials. You assume all risk and liability arising from the purchase, shipment, storage, handling, use, misuse, or disposal of the products from the moment of delivery, including risks arising from the actions of any third party to whom you permit access to the products. You acknowledge that you are solely responsible for maintaining appropriate facilities, equipment, training, and procedures for handling research chemicals.

7Prohibited uses

Without limiting Section 3, you must not: (a) use any product in or on any human or animal; (b) resell, relabel, repackage, or redistribute products for any prohibited purpose; (c) use products in any drug, food, cosmetic, or medical device; (d) export products in violation of applicable export-control or customs laws; (e) misrepresent your identity, age, or qualifications; or (f) use the Site for any unlawful purpose. We reserve the right to refuse service, cancel orders, terminate accounts, and report suspected unlawful activity to authorities.

8Orders, pricing, and payment

All orders are offers to purchase, subject to our acceptance. We may cancel any order prior to shipment for any reason, including suspected breach of these Terms, pricing or inventory errors, or payment issues, in which case amounts paid for the cancelled order will be refunded. Prices are in Canadian dollars unless otherwise stated, exclude applicable taxes and shipping, and are subject to change without notice.

9Shipping, title, and risk of loss

We ship within Canada only. Title to and risk of loss of the products pass to you upon our delivery of the shipment to the carrier. Delivery estimates are estimates only and are not guaranteed. You are responsible for providing an accurate shipping address and for compliance with any rules applicable at the delivery destination. Due to the nature of the products, all sales are final: products are not returnable and orders are not refundable once shipped, except as provided in Section 5 for non-conforming products or where a refund is required by applicable law.

10Indemnification

You agree to defend, indemnify, and hold harmless Peptibolics, its owners, officers, employees, agents, and suppliers from and against any and all claims, demands, actions, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your purchase, possession, handling, storage, use, misuse, or disposal of any product; (b) any breach of these Terms, including any inaccuracy in the certifications in Section 3; (c) any injury, illness, or death of any person, or damage to any property, connected with products after delivery to the carrier; or (d) your violation of any law or the rights of any third party.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) IN NO EVENT WILL PEPTIBOLICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12Regulatory status and compliance

You acknowledge that the regulatory treatment of research chemicals varies by jurisdiction and may change. We make no representation that any product is lawful to purchase, possess, or use in any particular jurisdiction, and you are solely responsible for confirming the legality of your purchase in your jurisdiction before ordering. We reserve the right to discontinue any product, decline to ship any product to any destination, or cancel any order in order to comply, in our sole judgment, with any law, regulation, or governmental guidance.

13Intellectual property

The Site and all content on it — including text, graphics, logos, product names, images, and design — are the property of Peptibolics or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent. "Peptibolics" and associated logos and series names are trademarks of Peptibolics.

14Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

15Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use.

16Termination

We may suspend or terminate your account or access to the Site at any time, with or without notice, for conduct we believe violates these Terms or applicable law. Sections 3 through 12 and 16 through 20 survive any termination.

17Force majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including carrier delays, supply interruptions, labour disputes, governmental actions, or events of force majeure.

18Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them, the Site, or any product are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any non-waivable rights under applicable law, the courts of the Province of Quebec have exclusive jurisdiction over any such dispute, and you attorn to the jurisdiction of those courts.

19Changes to these Terms

We may amend these Terms from time to time. The version posted on the Site at the time you place an order governs that order. Material changes will be indicated by updating the "Last updated" date above. Your continued use of the Site after changes are posted constitutes acceptance of the amended Terms.

20General

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and Peptibolics regarding their subject matter. You may not assign these Terms; we may assign them in connection with a reorganization or sale of our business. The parties have requested that these Terms and all related documents be drawn up in English.
